Job Overview

The Executive/Sr. Executive- Corporate Affairs & Board Secretariat role at Paramount Textile PLC involves managing critical corporate governance functions and ensuring compliance with regulatory requirements. Located in Dhaka’s Gulshan area, this position requires a professional who can handle board meeting preparations, annual report submissions, and various regulatory filings for the company and its sister concerns. The role demands meticulous attention to detail and comprehensive knowledge of corporate laws and regulations in Bangladesh.

Job Responsibilities

  • Ensure compliance with all rules and regulations related to Company Secretariat for the group
  • Prepare notices, minutes, and extracts of board meetings for all sister concerns and maintain minute books
  • Prepare annual reports according to Companies Acts, BSEC rules, and regulations
  • Arrange AGM/EGM meetings both online and physical within prescribed timeframes
  • Submit periodical reports including annual, half-yearly, quarterly, and monthly reports to BSEC, DSE, and CSE
  • Process and submit monthly shareholding reports to regulatory authorities
  • Handle Price Sensitive Information and maintain compliance with regulatory requirements
  • Deal with shareholders and address their queries professionally
  • Calculate dividends and provide them to shareholders
  • Maintain share certificates, share registers, and other related documents
  • Submit unclaimed dividend cash/stock reconciliation to CMEF
  • Provide tax certificates for dividend-related issues

Requirements & Qualifications

The ideal candidate should possess a Master’s or Bachelor’s degree in Business Discipline from a reputed university. Preference will be given to candidates who are partially qualified in Company Secretary (CS) certification. The position requires 3-4 years of relevant experience, preferably in manufacturing sectors such as FMCG, garments, textile, or pharmaceutical companies. Candidates must be at most 32 years old and have hands-on experience working with listed companies and RJSC-related work.
